MINUTES OF THE SPECIAL GENERAL MEETING OF  

WESTHILL AND DISTRICT PUBLIC HALL ASSOCIATION

HELD ON MONDAY 18TH FEBRUARY 2019 AT 7.00PM

 

PRESENT:   The attendance record lists the people who were at the meeting; 22 members of the public attended.

COMMITTEE MEMBERS PRESENT:  Mike Tolstyko (Chairperson); Colin Currie (Treasurer); Les May (Committee Member); Pam Dignan (Committee Member)

ALSO PRESENT:  Gillian Wood (Community Leisure Officer, Aberdeenshire Council), Dawn Brown (Garioch Partnership), Adrian Hidalgo (Facilities Manager); Fiona McCallum (Administrator)

APOLOGIES: Karen Scott (Jazzercise); Annette Macpherson (Pilates)

CHAIRPERSON'S WELCOME
 
Mike Tolstyko, Chairperson, welcomed all to the meeting and thanked them for attending.  He then explained the meeting would consist of two items:

1          To recognise two previous Hall Committee Members; and

2          To approve the new WDPHA Constitution.

1         PRESENTATION TO FORMER COMMITTEE MEMBERS

Mike presented both John Fraser, former Chairperson and Allan Fair, former Treasurer, with a voucher and thanked them both for all their hard work and commitment over the years at the Hall.

2         APPROVAL OF THE NEW CONSTITUTION

Mike handed over to Dawn Brown of the Garioch Partnership who outlined why the WDPHA were dissolving the current Constitution and adopting a new one.  The current Constitution has been in place since 2002 (the original Constitution was adopted in 1992) and legislation has changed since then, making it outdated.  WDPHA needs to ensure its governance is up-to-date and the new Constitution will better protect those who volunteer to manage/oversee the running of the Ashdale Hall.  Some hard copies of the new Constitution were circulated at the meeting; further copies can be emailed on request.  Once registered with OSCR, the new Constitution will be a Scottish Charitable Incorporated Organisation (SCIO) and the name of the new organisation will be “Westhill and District Public Hall Association SCIO”.  Dawn also explained that funders are attracted to SCIO charities (eg, National Lottery) so we could potentially receive more grants and funding in the future.

Notwithstanding the change in the Constitution, the Hall will continue to run as usual, same stakeholders and customers.  The initial Trustees on the Board will consist of Mike Tolstyko (Chairman), Colin Currie (Treasurer) and Les May.  The intention will be to increase the number of Trustees on the Board over the coming year.  The new Constitution, for a meeting of the Members, requires a quorum of 5.  The only commitment required for the Members is that they attend the Hall’s AGM each year.

The new Constitution is proposed to take effect 1st April 2019, at the beginning of the new financial year. 

Questions from audience were then invited

i.          Could a “Friends of the Hall” be set up?
Yes, this could be a sub-group set up as part of the Constitution

ii.         Will there be a fundraising committee?
Yes, this will be set up later on after the new Constitution is in place.

Those attending the meeting were then invited (via a show of hands) to vote who was in favour of adopting the new Constitution; there was a unanimous vote of all those present.

Attendees were then invited to volunteer to become Members of the new SCIO and forms were handed out for them to complete.

Dawn mentioned to the Committee that they could write letters to oil companies to possibly attract funding from the likes of Apache; Nexen and CNOOC.  Many oil companies also hold corporate team building days and could assist with hall maintenance as part of such an event (eg, decorating, tidying garden, etc).

Mike thanked Dawn for attending the meeting and explaining the new Constitution, he also thanked all the members of the public for attending the meeting.

The next Committee meeting was arranged for Wednesday 6th March 2019 at 7pm at the Ashdale Hall. 

 

NOTICE OF SPECIAL GENERAL MEETING - 18TH FEBRUARY 2019

Notice of Special General Meeting of Westhill & District Public Hall Association to be held on Monday 18th February 2019 at The Ashdale Hall at 7pm.
 
In accordance with the 2002 Constitution of “Westhill & District Public Hall Association” we the trustees, wish to dissolve the current organisation, and form a new “Scottish Charitable Incorporated Organisation” (SCIO) to take over all aspects of the running of the Hall. At this meeting, we shall seek permission in principle to dissolve the “Westhill & District Public Hall Association” and subject to the Office of the Scottish Charity Regulator (OSCR) granting permission, become “Westhill & District Public Hall Association SCIO”.
 
For the users of the Hall, they will see no difference in operations or day-to-day management. This is about modernising our governing document, and ensuring it is fit-for-purpose in terms of updated charitable laws, and protecting our trustees, volunteers and assets.
 
All Welcome. Meeting being held at Ashdale Hall, Westhill Drive, Westhill, AB32 6FY on Monday 18th February 2019 at 7.00pm.

With its excellent wooden floor, seating for up to 300 people and good acoustics, the Ashdale Hall is well-known to dancers who enjoy the monthly Line Dances and Tea Dances (Tea Dance held every 2nd Friday 1.30-3.30pm). The Hall also hosts regular Dance Society Dances, Family Ceilidhs, Dance Shows & Competitions and Scottish Nights. The Hall is also frequently used by various community groups and individuals for fundraising charity events.
